This Registration Statement on Form S-8 is filed to register the offer and sale of (i) an additional 3,385,371 shares of the Registrants common stock, $0.0001 par value per share, to be issued under the Registrants 2022 Stock Option and Incentive Plan and (ii) an additional 677,074 shares of the Registrants common stock, $0.0001 par value per share, to be issued under the Registrants 2022 Employee Stock Purchase Plan.
